The rules for using Tipoff.

Tipoff is a B2B intelligence platform that helps customers collect and enrich business data, detect signals, score accounts, and direct actions through connected tools. Features may change as the service evolves. Information and AI outputs may be incomplete, delayed, or incorrect and must be independently reviewed before material decisions.

You must provide accurate account information, keep access secure, and promptly report suspected misuse. You are responsible for activity under your account and for managing authorized users. You may not share credentials or attempt to access another customer's workspace.

During the subscription term and subject to these Terms, LinkedOtter LLC grants you a limited, non-exclusive, non-transferable right to use Tipoff for your internal business purposes. You may not reverse engineer, interfere with, probe without authorization, bypass controls or limits, resell the service or raw data, copy protected elements, or use Tipoff to develop a competing service except where law prohibits the restriction.

You retain ownership of data and materials you submit. You grant us a limited right to host, process, transmit, and display that content to provide, secure, support, and improve the service according to your instructions and our Privacy Policy.

You represent that you have the rights, notices, permissions, and lawful basis required for the data you submit and the actions you direct. We may remove or restrict content that violates law, these Terms, or third-party rights.

You are responsible for how you use intelligence, professional contact data, and connected tools. You must comply with privacy, marketing, anti-spam, consumer-protection, export, employment, and other applicable laws. You may not use Tipoff for harassment, discrimination, surveillance of sensitive traits, unlawful profiling, fraud, malware, or infringement.

Tipoff does not independently conduct outreach on your behalf. An outreach action occurs only when an authorized user configures or invokes a connection or automation. You remain responsible for audiences, messages, consent, suppression lists, and the connected provider's terms.

Tipoff may interoperate with third-party data, AI, enrichment, CRM, outreach, billing, and infrastructure providers. Their services are governed by their terms, may change or become unavailable, and are not controlled by us. Connecting a service authorizes the exchanges needed to perform the requested action.

AI-generated output is probabilistic. Do not treat it as legal, financial, compliance, employment, or other professional advice. Review it for accuracy, bias, rights, and suitability before use.

Fees, usage limits, billing periods, and renewal terms appear in the applicable order or checkout. Unless the order says otherwise, subscriptions renew automatically for the same period until cancelled before renewal. Fees are non-refundable except as required by law or expressly stated. You are responsible for applicable taxes other than taxes on our income.

LinkedOtter LLC and its licensors own Tipoff, its software, interfaces, documentation, and related rights. These Terms do not transfer that ownership. If you provide feedback, you grant us a worldwide, perpetual, royalty-free right to use it without identifying you or disclosing your confidential information.

Each party will use the other's non-public information only to perform under these Terms and will protect it with reasonable care. Exceptions include information that is public without breach, already known without restriction, independently developed, or lawfully received. Required disclosures should be limited and, where lawful, preceded by notice.

Our current safeguards and compliance status are described on the Trust & Security page. No service can guarantee absolute security.

You may stop using Tipoff and cancel as provided in your plan. We may suspend access to protect the service or others, address non-payment, comply with law, or investigate a material breach. Either party may terminate for an uncured material breach after reasonable notice when cure is possible. On termination, your license ends; provisions intended to survive will do so.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIPOFF AND ALL DATA, SIGNALS, AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” LINKEDOTTER LLC DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL. EACH PARTY' TOTAL LIABILITY ARISING FROM THESE TERMS WILL NOT EXCEED THE AMOUNT PAID OR PAYABLE FOR TIPOFF IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply where they cannot lawfully apply.

You will defend and indemnify LinkedOtter LLC against third-party claims arising from your customer data, unlawful use, outreach, connected-service instructions, or material breach of these Terms. We will provide prompt notice and reasonable cooperation, and you may control the defense subject to our approval of any settlement imposing obligations on us.

These Terms are governed by Delaware law, excluding conflict-of-law rules. Before filing a claim, the parties will try in good faith for 30 days to resolve it by contacting the other party. Subject to any mandatory law, state and federal courts located in Delaware will have exclusive jurisdiction, and each party consents to venue there.

Neither party may assign these Terms without consent, except in connection with a merger, reorganization, or sale of substantially all relevant assets. We are not liable for events beyond reasonable control. Failure to enforce a provision is not a waiver. Invalid provisions will be narrowed or severed. These Terms, the Privacy Policy, an applicable order, and any signed data-processing terms are the entire agreement; a negotiated signed order controls over conflicting online terms.

We may update these Terms. We will post the new effective date and give reasonable notice of material changes. Continued use after the effective date constitutes acceptance where permitted by law. Questions may be sent to support@gettipoff.xyz.
